Terms of Service

By creating an account, accessing, or using NuvoMail — including email sending, contact management, and inbox features — you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

1. Service and Agreement

About NuvoMail

NuvoMail is a software-as-a-service email workspace operated by Nuvo Innovations. It allows organizations to connect approved domains and third-party email providers, create personal and shared business addresses, send and receive messages, manage contacts, and collaborate with team members. NuvoMail is not itself an internet service provider or a guarantee of email delivery.

Who Is Bound

These Terms bind the person accepting them and, when the Service is used for an organization, that organization. You represent that you have authority to accept these Terms for the organization. If you do not have that authority or do not agree with these Terms, you must not use the Service.

Related Policies

The Privacy Policy, Payment Terms, and Abuse Guidelines form part of these Terms. If a specific written agreement between Nuvo Innovations and your organization conflicts with these online Terms, the specific written agreement controls for that conflict.

2. Account Registration and Responsibilities

Eligibility and Accurate Information

You must be legally capable of entering a binding agreement and must provide accurate, current account and organization information. The Service is intended for business use and is not directed to children.

Account and Credential Security

You are responsible for protecting passwords, access tokens, provider API keys, webhook secrets, and other credentials associated with your workspace. You must promptly notify Nuvo Innovations of suspected unauthorized access and must not share individual user accounts.

Organizations and Administrators

Workspace owners and administrators control membership, domains, mail identities, shared addresses, and permissions. Your organization is responsible for its users, for assigning appropriate access, for promptly removing access when no longer required, and for all activity performed through its workspace except to the extent caused by Nuvo Innovations' own breach or misconduct.

3. Domains, Messages, and Customer Responsibilities

Domains and Provider Configuration

You must have authority to use every domain, sender address, Reply-To address, and third-party provider account connected to NuvoMail. You are responsible for provider credentials, DNS and authentication records, receiving records, sender reputation, suppression lists, and configuration required by your provider or recipient systems.

Content and Recipient Accuracy

You are responsible for recipient addresses, sender information, subjects, message content, attachments, links, templates, and instructions submitted through the Service. Nuvo Innovations does not review or approve each message before it is sent.

Consent and Legal Compliance

You must obtain and document all permissions and consents required to contact recipients and must comply with applicable privacy, electronic-communications, marketing, consumer-protection, export-control, and anti-spam laws. Where required, commercial messages must accurately identify the sender, include a working unsubscribe method, and honour opt-out requests within the legally required period.

Records and Backups

You are responsible for maintaining independent copies of records, invoices, notices, approvals, schedules, and other information required for your business, legal, tax, payroll, employment, or contractual obligations. NuvoMail is not a records-retention or legal-archive service unless expressly agreed in writing.

4. Acceptable Use

Prohibited Conduct

You must not use NuvoMail for unsolicited bulk email, purchased, rented, harvested, or scraped recipient lists, phishing, malware, credential theft, fraud, unlawful content, deceptive sender information, impersonation, harassment, threats, privacy violations, or attempts to evade provider restrictions, rate limits, suppression lists, or security controls.

Operational Safeguards

You must use reasonable sending volumes, maintain accurate lists, remove invalid and unsubscribed recipients, monitor bounce and complaint rates, and cooperate with reasonable abuse or security investigations. Additional requirements and enforcement procedures appear in the Abuse Guidelines.

Enforcement

Nuvo Innovations may investigate suspected abuse and may limit sending, quarantine content, disable a sender or domain, suspend access, preserve relevant evidence, or terminate an account when reasonably necessary to protect recipients, providers, NuvoMail, or other customers; comply with law; or enforce these Terms.

5. Third-Party Email Delivery

Independent Provider

NuvoMail currently uses Resend, operated by Plus Five Five, Inc., to process and deliver certain email. Resend is an independent provider and is not owned, controlled, or operated by Nuvo Innovations. Unless expressly stated in a separate written agreement, Nuvo Innovations has no partnership, agency relationship, or independently negotiated service-level agreement with Resend.

Provider and Service Changes

Resend and other providers may change their APIs, features, limits, pricing, acceptable-use rules, security requirements, technical requirements, or legal terms, and may restrict, suspend, delay, reject, or discontinue service. Nuvo Innovations may modify, limit, replace, suspend, or discontinue an affected feature when reasonably necessary because of such a change, a legal or security requirement, excessive cost, technical limitation, or interruption.

Delivery Is Not Guaranteed

Messages may be delayed, rejected, blocked, quarantined, classified as spam, delivered to another folder, or not delivered because of recipient-server policies, incorrect addresses, domain or authentication settings, reputation controls, suppression decisions, rate limits, internet failures, provider outages, or other circumstances outside Nuvo Innovations' reasonable control.

Meaning of Delivery Status

A sent, accepted, queued, delivered, opened, or similar status reflects information reported by NuvoMail or a provider at that time. It does not guarantee that the intended recipient received, noticed, opened, read, understood, or acted on a message. Tracking signals may be incomplete or inaccurate because of recipient software and privacy protections.

Important and Time-Sensitive Communications

Do not rely exclusively on NuvoMail for urgent, emergency, safety-critical, legally required, time-sensitive, payroll, employment, billing, tax, collection, or contractual communications. You must verify receipt of important messages using an appropriate alternative method.

Alternatives

If a third-party email service becomes unavailable or unsuitable, Nuvo Innovations may attempt to restore compatibility, implement a reasonable alternative, or provide another way to access relevant information. Any replacement may differ in functionality, performance, price, or availability.

6. Customer Data and Privacy

Your Content

As between you and Nuvo Innovations, you retain ownership of email content, contacts, templates, domains, and other data you submit to the Service. You grant Nuvo Innovations a limited right to host, copy, transmit, process, display, and otherwise use that data only as reasonably necessary to provide, secure, support, and improve the Service and to meet legal obligations.

Provider Processing

Information needed to send or receive email—including addresses, sender information, message content, attachments, headers, and delivery metadata—may be transmitted to and processed by Resend and its subprocessors. Other service providers may process data as described in the Privacy Policy and under their own applicable terms.

Feedback

If you voluntarily provide suggestions or feedback, Nuvo Innovations may use it without restriction or compensation, provided that doing so does not identify you or disclose your confidential information without permission.

7. Availability, Changes, and Suspension

Service Availability

Nuvo Innovations will make commercially reasonable efforts to operate and maintain NuvoMail, but the Service may be unavailable because of maintenance, defects, internet or infrastructure failures, third-party changes, security events, or circumstances beyond reasonable control. No uninterrupted or error-free availability is promised unless expressly stated in a separate written service-level agreement.

Changes to the Service

Nuvo Innovations may add, change, or remove features and limits. If a material change substantially reduces paid core functionality, Nuvo Innovations will provide reasonable notice when practicable, except when immediate action is needed for security, legal compliance, or third-party service continuity.

Suspension and Termination

You may stop using the Service and cancel under the Payment Terms. Nuvo Innovations may suspend or terminate access for material breach, non-payment, legal or provider requirements, security risk, abusive sending, or conduct that threatens the Service or others. Where appropriate, Nuvo Innovations will provide notice and a reasonable opportunity to cure.

8. Fees and Third-Party Charges

NuvoMail Fees

Paid subscriptions, renewals, cancellation, taxes, refunds, and billing disputes are governed by the Payment Terms and the plan information presented at purchase.

Provider Charges

Unless expressly included in your NuvoMail plan, fees charged by Resend, domain registrars, DNS hosts, internet providers, or other third parties are your responsibility and are governed by your agreement with that provider.

9. Warranties and Liability

Service Provided As Available

To the maximum extent permitted by law, NuvoMail is provided on an as-is and as-available basis without implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, deliverability, or compatibility with future third-party changes.

Excluded Losses

To the maximum extent permitted by law, Nuvo Innovations is not liable for indirect, incidental, special, punitive, or consequential losses, or for lost revenue, profit, opportunity, reputation, data, deadlines, appointments, payments, or notices, arising from use of the Service or from acts, omissions, outages, delivery decisions, security incidents, or discontinuation by an independent provider outside Nuvo Innovations' reasonable control.

Non-Excludable Responsibility

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or excuses Nuvo Innovations from responsibility for its own fraud, wilful misconduct, negligence where liability cannot be excluded, security obligations, or failure to exercise commercially reasonable care.

10. General Terms

Governing Law

These Terms are governed by the applicable laws of Canada, without regard to conflict-of-law principles, subject to any mandatory rights available under the laws that apply to you. The parties will bring proceedings in a court of competent jurisdiction in Canada unless applicable law requires otherwise.

Changes to These Terms

Nuvo Innovations may update these Terms. Material changes will be communicated through the Service, by email, or by another reasonable method before they take effect when required by law. Continued use after the effective date constitutes acceptance where permitted by law.

Severability and No Waiver

If any provision is unenforceable, the remaining provisions continue in effect and the affected provision will be enforced to the maximum lawful extent. A failure to enforce a provision is not a waiver of the right to enforce it later.
